Counsels clients on structuring new franchise programs, franchise registration and disclosure, multi-unit transactions, and federal and state franchise and business opportunity laws. Handles corporate transactions including entity formation and mergers and acquisitions. Intellectual property practice focuses on commercial exploitation, drafting and negotiating software, content, trademark, and technology licenses, as well as work-for-hire and co-branding agreements. Also experienced in commercial and franchise litigation, including breach of contract disputes and enforcement of non-competition provisions.
