He concentrates on mergers and acquisitions, representing buyers and sellers in stock and asset acquisitions, divestitures, public and private mergers, tender and exchange offers, joint ventures, venture capital, and private equity investments. He also advises on corporate governance and defensive measures, including shareholder rights plans, and leads the firm's practice representing underwriters in connection with representation and warranty insurance and other transactional insurance for M&A deals.
