Hassans · Matthew was made a Partner of Hassans in 2021 and is an integral part of the team that specialises in international cross-border corporate, commercial and tax work. Matthew is highly experienced and specialises in a variety of corporate, commercial and tax matters that include, but are not limited to, company incorporations, corporate structing and restructurings, repatriation of profits/capital/reserves, equity and debt financing transactions, re-domiciliations in and out of Gibraltar, cross-border mergers, M&A, joint ventures, corporate finance and security, financial assistance, corporate governance and organisation, corporate transaction project management, insolvency work (in particular members’ voluntary solvent liquidations and advising liquidators – which he has advised in nearly 100 cases, many with cross-border aspects) and the use, set up, organisation and dissolutions of Gibraltar Limited Partnerships. Matthew also advises local small businesses on set-up and organisational related matters together with advising on trademark registrations in Gibraltar and more recently on crypto currency and blockchain related work. Matthew primarily advises large US and European multi-nationals, venture capital and private equity firms and family offices on a variety of international and transactional matters and is considered by these clients and their professional intermediaries (usually top legal and/or accounting US, UK and EU firms) as an efficient, trustworthy and responsive advisor. Matthew is also acts as a non-executive director for certain of his clients for which he has an GFSC approved licence. He is also the co-founder and current Head of Operations of the Hassans Academy that promotes internal training and teamwork within Hassans. The following are some notable examples of recent work that Matthew has undertaken: Leading, advising and assisting on all the Gibraltar corporate aspects of large corporate restructures and multimillion-dollar (ranging from USD50m to USD1b) indentures and related facilities, securities and corporates of (i) a leading offshore ultra-deep water drilling group; (ii) a large power generation provider; (iii) a LSE listed online gaming group; and (iv) a NASDAQ listed biopharmaceutical company; leading on the Gibraltar aspects of transfer of assets (worth a combined amount of circa EUR18b) and liabilities through the group structure for a reputable and large family office; Advising a Family Office on their investment in commercial property in Madrid and the interplay (both legal and tax) of using Gibraltar and Luxembourg entities within the structure; and Comprised part of a 7 strong team that has proposed (to both relevant Associations and the Government of Gibraltar) major changes to the Gibraltar Companies Act 2014. Education and published works Matthew initially attained a BA in Business Studies with Honours at the University of Wales Institute, Cardiff and thereafter undertook a Graduate Diploma in Law in Kingston University. Matthew subsequently completed the Bar Vocational Course at the City Law School in London. A member of the Honourable Society of the Middle Temple, Matthew was admitted to the Bar of England & Wales and then to the Gibraltar Bar in 2010. Matthew has co-authored several articles for diverse legal publications such as Chambers and Partners, The Legal 500, Lexis Nexis and the Centre for International Legal Studies.
