She assists renowned managers of PE/VC funds in the design and formation of their first and subsequent series of RMB funds in the Chinese market, including equity funds, mezzanine funds, M&A funds, real estate funds, hedge funds and funds of funds, and is also active in special investment vehicles for various types of project. Ms. Yuan specializes in the design of flexible and efficient legal frameworks for funds in complex and volatile market environment under strict regulatory requirements. She is frequently involved in the negotiations on the behalf of PE/VC funds managers with the investors including SSF (National Council for Social Security Fund), insurance companies, government guidance funds, funds of funds, industrial investors and other institutional investors. Ms. Yuan has broad experience in advising managers of fund of funds in funds investing matters and she assists them in the negotiations with almost all the outstanding funds managers in the domestic private equity industry. Ms. Yuan represents PE/VC funds in providing legal advices in equity, debt investment and investment exit in various investment projects, including many significant transactions in the market. Ms. Yuan’s practice also focuses on advising PE/VC funds managers on matters of private equity management institutions’ compliance management, internal governance arrangements and economic incentives.
