Private clients are medium, high-net-worth and ultra-high-net-worth individuals and families. - Types of work undertaken Banking and real estate development finance: focusing on advising banks and financial institutions (including alternative peer-to-peer and private lenders) on a range of financing transactions, including commercial mortgages / SME lending; real estate financing and development funding; business-related bridging facilities. Banking services include advising on commercial mortgages, SME finance and real-estate development facilities for high street banks, alternative and private lenders (in collaboration with the firm's Commercial Property and Lending teams). Commercial property: expertise includes acquisitions and sales, preparation and negotiation of leases, property portfolio acquisitions, and licensing. Development and planning work includes site assembly, options agreements, finance agreements and plot sales. Company and commercial: providing specialist advice to businesses on all types of trading contracts, including: starting a business, including incorporation and constitutional matters; shareholder agreements, LLP and partnership agreements; commercial contracts (terms and conditions of business); financing agreements; intellectual property, including brand management and licensing Corporate: providing specialist advice to businesses of all sizes, from sole traders and entrepreneurial start-ups to large multi-national corporations, on all aspects of their operations, and the lifecycle of their businesses, including but not limited to: buying and selling businesses, including mergers, acquisitions and disposals, management buy-outs/buy-ins (MBOs and MBIs) and buy-in management buy outs (BIMBOs); joint ventures; agency, distribution and franchising; restructuring, including the creation of a group, hive ups and winding up of a business; profit extraction and succession planning; and project management. Dispute resolution: the firm enjoys a strong reputation for dispute resolution and litigation work across a broad range of areas. These include property litigation (both residential property and commercial property disputes), commercial litigation and Wills, trusts and estate disputes. The team has a wealth of experience across a number of recognised and ranked lawyers, leading hardworking teams committed to finding practical solutions to client problems. The team advises businesses and individuals at all levels, from SME’s to multi-national companies and a wide range of private clients. The team is often trusted to act for clients on multiple issues across the range of its expertise, including business clients looking for trusted advisors to help with repeat issues, or those complex claims spanning different legal specialisms. Employment: the team advises both employers and employees on a wide range of work, from unfair dismissal and redundancy to discrimination, harassment, breach of contract and disciplinary hearings. In-house advocacy at employment tribunals is provided. Advice is given on drafting employment contracts, handbooks and work policies, as well as HR support and training. Family: the firm enjoys a national reputation for family law. Clients, typically high-net-worth individuals, are drawn from all over the country, as well as from overseas. Services include divorce, separation, civil partnerships, cohabitation, prenuptial agreements and financial aspects, such as maintenance, support for children, property transfers, lump sum orders and pension sharing. All types of injunction are handled, as well as Children Act proceedings, including contact, residence and removal. Particular expertise is provided in cross-border disputes. With fully trained mediators in place, the team is able to help separating couples who prefer to avoid the court route. Leasehold: includes lease extensions, purchases of freehold, and leaseholders taking over management of their flats. Advice is provided to flat-owners, groups of tenants, residents’ associations and landlords. The Enfranchisement team enjoys an excellent reputation, extending into London and beyond. Lending: provides advisory, transactional, asset and portfolio management services for lenders, debt funds and syndicates. Lending clients include banks, onshore/offshore funds, family offices, private and alternative lenders (including amongst them, three of the top twenty global debt funds). We work with lenders who operate in the specialist, adverse credit, buy-to-let, short-term and development lending spaces. Borrowers include substantial portfolio investors, secondary market investors and property developers. The group has a leading advisory practice for new sector entrants, including advising and drafting lending policies, servicing agreements, offer and security documents. The department regularly provides market commentary to clients, attendant audiences and broader media. The department also operates a loan management service dealing with title rectification, redemptions, mid-loan variations and risk awareness pre-recovery - often leading to receivership, dispute and disposal services. Private client: providing a genuinely personal service for individuals and their families, advising on Wills, Lasting Powers of Attorney, probate and administration of estates, trust planning/creation and trust administration, as well as specialist taxation advice and matters such as capacity, guardianship. Residential property: dealing with the full range of property transactions, from standalone sales and purchases, to complex, very high value residential transactions, and transactions that involve a commercial and a residential element. Debt recovery: the firm employs a dedicated team assisting businesses with the recovery of commercial debts, and assisting private clients who are owed money for a variety of reasons with their debt recovery needs. The team works hard to recover outstanding debts, with an emphasis on quality of service and a holistic approach to client needs, working with other teams within the firm.
